By accessing or using the Mergedeck platform, you confirm that you have read, understood, and agree to the terms set out in this disclaimer. This document does not constitute legal advice.

1.  Intermediary Status

Mergedeck is an online intermediary platform operated by Mergedeck Ventures Pvt. Ltd. (“Mergedeck”), incorporated under the Companies Act, 2013. Mergedeck operates as an intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, and claims safe harbour protection under Section 79 of that Act. Mergedeck does not initiate, select, modify, or endorse any listing or communication between users on the platform.

2.  No Verification of Listing Content

All listing information — including financial figures, business descriptions, projections, regulatory status, and supporting documents — is furnished solely by the respective user. Mergedeck does not independently verify any such information. In an era of AI-assisted content creation, users are expressly warned that listing content may have been generated or enhanced using artificial intelligence tools. Independent verification of all information, identities, documents, and regulatory status is mandatory before advancing any transaction.

3.  No Representations or Warranties

Mergedeck does not represent, warrant, or guarantee:

  • the accuracy, completeness, currency, or legality of any listing or user-submitted content;
  • the identity, solvency, regulatory standing, or bona fides of any registered user;
  • the enforceability or legal validity of any document exchanged between users; or
  • the successful completion of any transaction introduced through the platform.

4.  Limitation of Liability

Mergedeck shall not be liable for any loss, damage, cost, claim, or expense of any nature — whether direct, indirect, consequential, or punitive — arising from or in connection with:

  • any transaction, negotiation, or communication initiated through the platform;
  • cross-border regulatory non-compliance including FEMA, FDI policy, RBI/SEBI/IRDAI approvals, and applicable foreign laws;
  • AI-generated misinformation, digital fraud, deepfakes, or identity misrepresentation;
  • data breaches, cybersecurity incidents, or platform downtime;
  • PMLA/AML non-compliance by transacting parties; or
  • any reliance on platform-facilitated introductions without independent due diligence.

Mergedeck's total aggregate liability, if any, shall in no event exceed the fees actually paid by the claimant to Mergedeck in the twelve months preceding the claim.

5.  User Responsibilities

Users are solely responsible for:

  • independent legal, financial, tax, and regulatory due diligence;
  • compliance with FEMA 1999, PMLA 2002, IT Act 2000, DPDPA 2023, Companies Act 2013, RBI/SEBI/IRDAI regulations, and all applicable foreign laws;
  • obtaining required regulatory approvals before transaction closure; and
  • the accuracy and originality of all content submitted to the platform.

6.  Intellectual Property

All content submitted to Mergedeck remains the intellectual property of the submitting party. By submitting content, users grant Mergedeck Ventures Pvt. Ltd. a non-exclusive, royalty-free licence to display, index, and distribute such content on the platform for the purpose of connecting transacting parties.

Mergedeck's name, logo, platform design, matching methodology, and proprietary content are the exclusive IP of Mergedeck Ventures Pvt. Ltd. and may not be reproduced without prior written consent.

7.  Data Privacy (DPDPA 2023)

Mergedeck collects and processes personal data of registered users as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 and DPDP Rules 2025. Personal data is processed solely for the purpose of facilitating deal introductions and is not sold to third parties. Users have rights to access, correct, and erase their personal data as prescribed under the Act. Grievances relating to data processing may be addressed to the Grievance Officer at ceo@mergedeck.com.

8.  Governing Law and Jurisdiction

By registering on and using the Mergedeck platform, users agree that all disputes arising from platform use shall be governed by the laws of India and subject to the exclusive jurisdiction of courts in New Delhi. This disclaimer and the Mergedeck Best Practices Guide constitute the entire understanding between Mergedeck and its users regarding platform liability and do not constitute legal advice.
