SCOPE OF CONSULTING SERVICES The Consultant shall provide expert advisory services including, but not limited to, the following domains: Structuring and executing trade finance solutions for global transactions. Identifying, structuring, and facilitating fundraising solutions, including equity investment, venture capital, private equity, and debt funding from banks, NBFCs, AIFs, and private investors. Engaging with banks, financial institutions, angel investors, and alternative funding sources. Conducting due diligence and ensuring regulatory compliance for both trade finance and fundraising initiatives. Assisting with documentation, negotiations, and financial structuring of both trade and fundraising deals. Advising on risk mitigation strategies for international trade and fundraising operations. Supporting investor presentations, pitch decks, term sheets, and post-funding compliance requirements. The Client shall furnish all necessary information, documentation, and support required for the Consultant to effectively perform the agreed services. Independent advisory, structuring, coordination, and facilitation services related to trade finance, SBLC, fuel, and commodities. No guarantee of outcome.

FEES & PAYMENT TERMS Consulting Fee: The Client agrees to pay the Consultant a one-time consulting fee of INR 1,00,000
(One Lakh Indian Rupees Only) payable upon execution of this Agreement. Retention Fee: In consideration of ongoing advisory services, the Client shall pay the Consultant a monthly retention fee of INR 30,000 (Thirty Thousand Indian Rupees Only) payable on the 3rd of each month.
Success Fee: Upon successful facilitation of trade finance or funding arrangements, the Client shall pay the Consultant a success fee of 5% (FIVE Percent) of the total transaction value payable within 5 days of fund disbursement.
